Terms of Service

Last updated: 8 October 2026

These terms are a contract between you and Genesis Technologies FlexCo, in Vienna, Austria (“GenesisPay”, “we”, “us”), the operator of genesispay.finance, the GenesisPay checkout and payment pages, the dashboard, the APIs, the published SDKs and the GenesisPay MCP server (together, the “Service”). By creating an account, paying through a GenesisPay link, or using our APIs or MCP server, you accept them. If you use the Service for a business, you confirm you are authorised to bind that business. Questions go to [email protected]. How we handle personal data is described in our Privacy Policy.

1. What GenesisPay is — and is not

GenesisPay is non-custodial payment infrastructure and a technical service provider — not a bank and not a payment institution. A seller creates a payment link; a payer settles it in stablecoins (USDC or EURC) on the Base network, directly from the payer’s wallet to the seller’s receiving address. We provide the software that prepares, verifies and broadcasts these payments. Buying stablecoins with money (top-ups) and selling them for money (cash-out) is provided by the licensed provider Rampnow under its own licences and terms (section 7).

  • We never hold your funds. Money moves peer-to-peer on-chain. We have no customer float, and we cannot spend, freeze or seize funds in your wallet.
  • We never sign for a human payer. Every payment is authorised by a signature you (or your agent, under rules you set) create. We host the facilitator — a server-side relayer implementing the Coinbase x402 facilitator pattern — that broadcasts what was signed; it cannot move money it was not authorised to move.
  • We are not a bank or a payment institution and do not take deposits, extend credit, exchange currencies, or provide investment services. Stablecoins are issued by third parties (for example Circle for USDC/EURC) under their own terms.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter contracts. You agree to provide accurate information and keep it current. You are responsible for everything that happens under your account, your API keys and the connections you approve: keep credentials confidential, and tell us immediately at [email protected] if you suspect unauthorised use. Sellers must complete business verification (KYB) before receiving live API keys; we may decline, limit or revoke verification where the law or our risk policy requires it.

Signing in to other sites. Some sellers let you sign in to their own website or app with your GenesisPay account (“Sign in with GenesisPay”). On our approval screen you decide what the site receives, and you can disconnect it at any time under “Connected apps”. The site is run by the seller, not by us: its own terms and privacy policy govern your use of it, and we are not a party to your relationship with it. Check the address the screen says it will send you back to, and approve only a sign-in you started yourself. A sign-in never authorises a payment and gives the site no access to your money or your agent accounts; every payment is one you approve yourself.

3. Merchant applications

We open merchant accounts in waves. To sell with GenesisPay you first apply by telling us about your business, and a person at GenesisPay reviews every application.

  • No entitlement. Applying does not entitle you to a merchant account. We decide at our discretion — for example by capacity, region, or fit with our acceptable-use rules (section 8) — and we do not have to give reasons. You can still use GenesisPay as a payer or agent owner.
  • Approval is not verification. Approval only lets you finish setting up a merchant account. Business verification (KYB) remains a separate step before you can receive live payments, and approval says nothing about its outcome.
  • Accurate answers. Your answers must be true. We may withdraw an approval if they were not, or if your business changes so that we would no longer approve it.
  • There is currently no self-service way to apply again after a rejection; write to us if your business has changed.

4. Payments are final

Payments settle on a public blockchain. A settled payment is irreversible. We cannot cancel, reverse, or claw back an on-chain transaction, and there is no chargeback mechanism. Check the amount, currency and recipient before authorising a payment or a Send — a Send to the wrong address or account cannot be recovered by us. Refunds and disputes about goods or services are strictly between payer and seller; a seller who owes a refund sends a new payment. We are not a party to the underlying sale and do not arbitrate disputes.

5. Sellers

As a seller you are responsible for:

  • the goods and services you sell — their legality, description, delivery, quality, and all taxes and reporting connected to your sales, including sales to AI agents;
  • the wallet address you configure as your receiving address — payments sent to the address you configured are payments delivered to you;
  • your own compliance — consumer law, tax law, and any licence your business needs;
  • the personal data of your customers that you enter into the Service (for example on invoices) — you confirm you may lawfully use it;
  • the accuracy of what you publish in Discovery — names, descriptions and prices that people and agents rely on.

Offering Sign in with GenesisPay. You can register sites (“clients”) on the Developers page so that buyers can sign in to them with GenesisPay. If you do:

  • Name it truthfully. A client’s name must accurately identify your site or service. Buyers see it, with your business name, on the approval screen.
  • Your own return addresses. Register only return addresses that you control and that belong to the site the client names.
  • Keep the secret secret. Keep each client secret confidential, and replace it at once if it may have been exposed. Until you do, we treat requests made with it as yours.
  • You are the controller of what you receive. You receive a buyer’s sign-in ID and the information the buyer approves as an independent controller. You are responsible for processing it lawfully under data-protection law, including what you keep after the buyer disconnects.
  • No way around our safeguards. Do not use sign-in data to get around GenesisPay’s safeguards — for example the buyer’s approval of each payment, agent spending limits and allowlists, or our rate limits.
  • A sign-in is not payment authority. Sign-in tokens and sign-in IDs tell you who signed in. They give you no authority to charge a buyer or to act for them, and a sign-in is not proof that anyone paid.
  • We may disable a client. We may disable a client — for example if its name or return addresses are misleading, its secret may have been exposed, or you breach these terms. Disabling ends every buyer’s connection to it. While your seller account is suspended your clients cannot be used, and closing your account disables them.

We may suspend or terminate accounts, links or keys that we reasonably believe violate these terms, and where the law requires it we may do so without prior notice.

6. Agent accounts and AI assistants

An agent account lets an AI agent or assistant find and pay for things from a wallet you fund, under spending policies — per-payment, daily and monthly caps, and optionally an allowlist — that you configure and that we enforce server-side.

  • Your wallet, a restricted signer. An agent wallet is owned by your own account and you can withdraw from it at any time. With your consent, GenesisPay is added as a restricted signer that can only sign stablecoin payment authorisations that pass your policy. You can revoke that signer at any time.
  • You are responsible for your agent. You decide which assistant to connect and what to instruct it to do. A payment your agent makes within the policies you set is a payment you authorised, even if the assistant misunderstood you, was wrong, or was manipulated by content it read (for example a malicious web page). Keep your caps as low as your use allows, and use the allowlist where you can. Nothing in this section limits your statutory rights as a consumer.
  • No limit means no limit. If you set no USDC limit, your agent can pay any amount in USDC up to its balance without asking you, and a limit you leave empty does not apply for that period. In any other stablecoin, a payment without a limit of its own always waits for your approval.
  • Connecting a web chat. When you approve a connection from a web chat such as Claude or ChatGPT (“Sign in with GenesisPay”), you authorise that app to use the one agent you choose, within that agent’s limits, until you revoke the connection, and for at most 90 days. The app’s name on the approval screen is chosen by the app and is unverified: check the address it will send you back to, and approve only a connection you started yourself. We email you whenever a new app is connected. A connected app cannot change your limits or allowlist, approve its own over-limit payments, create keys, or reach your personal wallet or your other agents.
  • Safeguards, not guarantees. Caps, allowlists and approvals limit what an agent can spend; they do not judge whether a purchase is wise. An allowlist miss is blocked. A payment over your caps waits for your explicit approval in the dashboard — if you approve it, it is yours.
  • AI providers are third parties. ChatGPT, Claude, Gemini, Perplexity and other assistants are provided by their operators under their own terms. We do not control them, do not guarantee that any assistant or integration remains available or works as described, and are not responsible for what an assistant says, recommends or remembers. Connecting an assistant never gives its provider custody of your money or the power to sign for you.
  • Keys and connections. Keep agent API keys secret. Revoke a key or a connected app (“Connected apps” on the agent) immediately if you suspect misuse — until you revoke it, we treat properly authenticated requests as yours. Revoking stops future requests and refuses payments from that connection that still wait for your approval; it does not reverse payments already settled.

7. Top-ups and third-party services

Top-ups and cash-out are provided by Rampnow, and wallet software by its vendors, each under its own terms; when you use one, you contract with that provider directly. GenesisPay is not a party to a Rampnow purchase or sale and earns nothing on it; Rampnow’s own fees and exchange rate apply. We do not control the providers’ fees, availability, processing times or eligibility decisions. To cash out, you send USDC from your wallet to the deposit address Rampnow shows you, using Send; the normal Send terms and fees apply (section 9). Availability differs by region, and a region or provider can become unavailable without notice. Your existing balance and normal payments are unaffected by top-up availability.

8. Acceptable use

You may not use GenesisPay — as a seller, a payer, or through an agent — to sell, buy or facilitate:

  • anything illegal in your jurisdiction or the other party’s;
  • unlicensed gambling or betting;
  • adult content or services;
  • weapons, controlled substances, stolen goods, counterfeits, malware, or material that exploits minors;
  • fraud of any kind — including money laundering, terrorist financing, Ponzi or pyramid schemes, and evading sanctions;
  • transactions for persons or countries subject to EU, US or UN sanctions;
  • unlicensed financial, investment or trading advice, including forecasts marketed as such advice;

You also may not:

  • probe, overload or circumvent our security, rate limits or spending-policy enforcement, or try to make an agent exceed its owner’s policy;
  • plant instructions in listings, product descriptions or paid content intended to manipulate other people’s AI assistants;
  • misrepresent who you are, your business, or your integration;
  • register an app with our sign-in service under a name or return address meant to mislead the people who approve it.

9. Fees

On a payment to a seller on GenesisPay, our fee is 1% per successful payment, with a minimum fee per payment that may be adjusted to network costs, between $0.002 and $0.01 (for EURC the euro equivalent, never more than €0.01; the current value is shown on our pricing page), and never more than half of the payment. It is deducted at settlement. We may set a minimum price for new payment requests, products, plans and invoices; the dashboard and the API tell you when a price is below it. A Send from one wallet to another may carry a service fee paid by the sender on top of the amount; where it does, we show it before you sign, and the recipient receives the full amount.

When your agent pays an x402 service of a provider that is not a seller on GenesisPay, we charge you, the agent’s owner, a fee on top of the provider’s price: 1% of the price with the same minimum fee, but without the half-of-payment limit, so on a very small price the fee can be larger than the price. The provider receives its full price. We show the fee and the total in the agent’s payment tools and in your dashboard; it counts toward your agent’s spending limits and is collected only if the purchase settles.

During the beta we may change fees without the notice period below. After the beta, we will announce fee changes at least 30 days before they take effect; continued use after that date is acceptance. Network (gas) fees and third-party provider fees are not ours and are not included.

10. Blockchain risks

You understand and accept the risks inherent in public blockchains:

  • transactions can be delayed or fail due to network congestion, and gas costs vary;
  • a stablecoin’s value depends on its issuer and reserves — a stablecoin can deviate from its peg, and the issuer can freeze tokens under its own terms;
  • if you lose control of a self-managed wallet or its keys, neither we nor anyone else can recover it or the funds in it;
  • blockchain records are public and permanent (see our Privacy Policy).

Nothing in the Service is investment, legal or tax advice, and nothing in it is an invitation to buy or hold any token.

11. Beta status and availability

The Service is provided as a beta. We work to keep it available and correct, but we do not guarantee uninterrupted operation, and we may change, suspend or discontinue features — including individual AI-assistant connections. Test and sandbox modes exist so you can integrate without moving real money; simulated and testnet payments have no monetary value.

12. APIs, SDKs and the MCP server

We grant you a non-exclusive, revocable licence to use our APIs, published SDKs and MCP server to integrate with the Service. Do not exceed reasonable request volumes, misrepresent your integration, or resell access to the Service as your own. An app that registers with our sign-in service (to connect a web chat) must describe itself truthfully; we may disable an app’s registration, which ends its connections for new requests. The open-source licences of the SDKs and MCP server govern the code itself.

13. Intellectual property

The Service, the GenesisPay name and branding, and our content remain ours. You retain all rights to your own content and data; you grant us the licence needed to host and process it to provide the Service, including publishing your shop and product listings in Discovery.

14. Disclaimer and liability

The Service is provided “as is” and “as available”. To the extent permitted by law, we exclude all warranties we are allowed to exclude, and our total liability for slightly negligent breaches is limited to typical, foreseeable damage and capped at the greater of EUR 500 and the fees you paid us in the twelve months before the claim. We are not liable for lost profits, lost data you failed to back up, actions of third-party providers (including AI providers), blockchain networks or token issuers, apps you approved to connect to your agent, or for events outside our reasonable control. Nothing limits our liability for intent, gross negligence, personal injury, or any liability that cannot be limited by law — and nothing in these terms limits statutory consumer rights.

15. Indemnity (businesses only)

If you use the Service as a business, you will indemnify us against third-party claims arising from your sales, your content, or your breach of these terms, including reasonable legal costs.

16. Termination

You can close your account at any time by writing to us. We can suspend or terminate the Service or your account with reasonable notice, or immediately where required by law or by a serious breach of these terms. Because we never hold your funds, closing an account never traps money: your wallet and its contents remain yours. Provisions that by their nature survive (finality, liability, indemnity, governing law) survive termination.

17. Changes to these terms

We may update these terms. For material changes we will give account holders at least 30 days’ notice by email or in the dashboard; continued use after the effective date is acceptance. If you do not agree, stop using the Service and close your account before the change takes effect.

  • 8 October 2026 — Top-ups and cash-out (1, 7): Rampnow is now the only provider; MoonPay through Privy’s funding window is no longer offered. Cash-out is a Send to the deposit address Rampnow shows, and GenesisPay earns nothing on a Rampnow purchase or sale.
  • 2 October 2026 — Fees (9): a fee paid by the agent’s owner on top of the price when an agent pays an x402 provider that is not a seller on GenesisPay; the deducted fee and its half-of-payment limit apply to payments to sellers on GenesisPay. Sign in with GenesisPay: signing in to other sites (2) and offering it as a seller (5).
  • 1 October 2026 — Fees (9): a minimum fee per payment that may be adjusted to network costs, between $0.002 and $0.01, never more than half of the payment; a possible minimum price for new payment requests, products, plans and invoices; a possible sender-paid service fee on a Send, shown before signing; and fee changes during the beta without the 30-day notice.
  • 26 September 2026 — Added merchant applications (3), agent accounts and AI assistants including connecting a web chat (6), the on-ramp providers by name (1, 7), the fee as now collected (9), a separate acceptable-use section that also applies to agents (8), and a short summary. Top-ups are no longer described as unavailable in the United Kingdom.
  • 13 August 2026 — First published.

18. Governing law and disputes

These terms are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For businesses, the courts of Vienna, Austria have exclusive jurisdiction. If you are a consumer in the EU/EEA, you keep the protection of the mandatory rules and courts of your country of residence. We are not obliged and do not commit to participate in dispute resolution before a consumer arbitration board.
